Client: The individual or company agreeing to services provided by Pinkerton Marketing


1. Acceptance of Terms

By engaging with Pinkerton Marketing’s services, you (“Client”) agree to these Terms & Conditions in full. If you do not agree with any part of these terms, please do not use our services.


2. Services Provided

Pinkerton Marketing provides marketing, automation, AI integration, and consulting services. All services will be outlined in a written agreement or proposal and must be approved by both parties before work begins.


3. Payment Terms

All fees are due as outlined in the service agreement or invoice.Late payments may result in delayed services or suspension of work.No refunds will be issued for completed work.Any unpaid invoices may be subject to interest and collection fees.


4. Client Responsibilities

You agree to provide timely access to materials, information, and approvals required to deliver the service. You confirm that all content and assets you provide are legally owned or licensed to you. You are responsible for reviewing and approving work and deliverables in a timely manner.


5. Intellectual Property

All original creative content produced by Pinkerton Marketing remains the property of Pinkerton Marketing until full payment is received.After full payment, the Client is granted a non-exclusive, non-transferable license to use the deliverables for their business.Proprietary tools, frameworks, or AI configurations developed by Pinkerton remain the intellectual property of Pinkerton Marketing.


6. AI & Automation Disclaimer

While we use advanced tools to optimize business workflows, results vary and cannot be guaranteed.The Client is responsible for ensuring all AI, email, SMS, or automation tools comply with local regulations, including GDPR, CAN-SPAM, TCPA, etc.Pinkerton Marketing is not liable for misuse of tools, incorrect implementation by third parties, or failure to follow compliance laws.


7. Limitation of Liability

We are not liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use our services. In no event shall our liability exceed the amount paid by the Client in the past 3 months.


8. Termination

Either party may terminate services with written notice.Upon termination, all unpaid fees are due immediately. Work completed prior to termination remains billable.


9. Confidentiality

Both parties agree to keep proprietary information confidential.This includes business data, login credentials, client information, and any non-public materials shared during the engagement.


10. Governing Law

These Terms shall be governed by the laws of the state of Arizona, without regard to its conflict of laws rules.


11. Updates to Terms

We reserve the right to update these Terms at any time. Continued use of our services after changes are made constitutes your agreement to the new Terms.
